     On November 4, 2009, Alon USA Energy, Inc. (the “Company”) issued a press release reporting our financial results for the quarter ended September 30, 2009. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K, and is incorporated by reference into this Item 2.02.

Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

     On November 4, 2009, the Board of Directors (the “Board”) of the Company appointed Shlomo Even to fill the vacancy on the Board resulting from the resignation of Ron Fainaro on September 17, 2009. There are no arrangements or understandings between Mr. Even and any other person pursuant to which he was elected as a director.

     Mr. Even has been a certified public accountant and partner of the certified public accounting firm of Tiroshi Even since 1986. Mr. Even also serves as a director of Alon Israel Oil Company, Ltd., Dor Alon Energy in Israel (1988) Ltd., which is listed on the Tel Aviv Stock Exchange (“TASE”), Blue Square — Israel Ltd., which is listed on the New York Stock Exchange and TASE, and Rosebud Medical Ltd., which is listed on the TASE. Mr. Even is the brother of Shai Even, our Senior Vice President and Chief Financial Officer.
