3.01 Notice of Delisting or Failure to
Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 19, 2008 the Company began procedures to transfer the listing of its common stock from the American Stock Exchange (“AMEX”) to the New York Stock Exchange (“NYSE”) by sending a required 10-day notice to AMEX that the Company will file Form 25 with the Securities and Exchange Commission. The Company anticipates that its common stock will begin trading on the NYSE on September 2, 2008.
