Item 2.02 Results of Operations and Financial Condition.
On October 22, 2009, Developers Diversified Realty Corporation (the “Company”) issued a News
Release containing financial results of the Company (the “News Release”) and a quarterly financial
supplement containing financial and property information of the Company (“Quarterly Supplement”)
for the three- and nine-month periods ended September 30, 2009. Among other things, the News
Release reports a net loss of $0.90 and $2.11 per diluted share for the three- and nine-month
periods ended September 30, 2009, respectively, as compared to net income of $0.20 and $0.66 per
diluted share for the three- and nine-month periods ended September 30, 2008, respectively. A copy
of the News Release is attached hereto as Exhibit 99.1 and a copy of the Quarterly Financial
Supplement is attached hereto as Exhibit 99.2 and are each incorporated herein by reference. This
information shall not be deemed to be “filed” for the purposes of Section 18 of the Securities
Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section,
