On June
20, 2008, the Registrant entered into a material definitive agreement with
Impulse Advertising Ltd. (‘Impulse’) in the form of a general security agreement
(‘GSA’). The GSA places a mortgage on the Assets and Intellectual
Property of the Registrant in favour of Impulse as protection against
non-payment of the loan of $300,000. Impulse is controlled by
the spouse of the Registrant’s President, Mr. Jackson.

On June
20, 2008, the Registrant signed a Promissory Note confirming a financial
obligation in the amount of three hundred thousand Canadian Dollars (CDN
$300,000.00). The loan shall be due and payable within 6 months from
date of execution. The loan will be charged a loan fee of 10%, to be
paid upon receipt of the loan, and shall earn simple interest at a rate of 10%
per annum, paid monthly in arrears. Payment of the capital shall be
repayable by the Registrant at the end of the term.
The loan
has been secured under a Promissory Note and a General Security
Agreement.
