GENERAL OVERVIEW

Sensytech, Inc. (also referred to as the "Company" and formerly known as Sensys Technologies Inc.), a Delaware corporation, is the successor company to Daedalus Enterprises, Inc. ("DEI") which was organized in 1968, and S.T. Research Corporation ("STR") which was organized in 1972. On June 9, 1998, STR acquired DEI (the "Acquisition"), and as a result of this overall transaction, Sensytech, Inc. was organized. The transaction was accounted for as a reverse acquisition.
