The number of shares beneficially owned by executive officers and directors of the registrant as a group and by persons known to the registrant to be beneficial owners of more than 5% of the outstanding common stock of the registrant as of June 30, 2002 was subtracted from the total number of shares outstanding to calculate the number of shares held by non-affiliates.
