Empire Resources, Inc. (the "Company") was incorporated in the State of Delaware in 1990 under the name Integrated Technology USA, Inc. ("Integrated"). The Company was in the business of designing, developing and marketing products for emerging computer related markets. Effective September 17, 1999, the name of the Company was changed to Empire Resources, Inc. From its inception until September 1999, the Company had generated limited revenues from the sale of its computer related products.
