Background

International Imaging Systems, Inc. ("we", "us", "our company", "our" or "IISY") was formed under the laws of the State of Delaware in 1998. Through our wholly-owned subsidiary, Advanced Staffing International, Inc., we were principally engaged in the employee leasing business. Effective September 19, 2006 we entered into an agreement along with certain of our former shareholders in order to effectuate a change of control. As a result of this change of control, our liabilities (principally loans from related parties) were paid or eliminated.
