KMG Chemicals, Inc., a Texas corporation (the "Company"), was incorporated in the State of Texas in 1992 under the name Water Point Manufacturing, Inc. In connection with the acquisition in 1996 of KMG-Bernuth, Inc., a Delaware corporation ("KMG"), the Company changed its name to KMG-B, Inc. In 1997 the Company changed its name to KMG Chemicals, Inc.
