Lancer Orthodontics, Inc. ("Lancer") is engaged in the business of manufacturing and marketing orthodontic products. The Company was incorporated in California on August 25, 1967. Lancer conducts its operations at two facilities, located at 253 Pawnee Street, San Marcos, California 92069-2347 and in Mexicali, Mexico.

In May 1990, Lancer entered into a manufacturing subcontractor agreement whereby the subcontractor agreed to provide manufacturing services to Lancer through its affiliated entities located in Mexicali, B.C., Mexico.
