GENERAL OVERVIEW

We were formed in 1995 as a New Jersey corporation, under the name "Wavetech, Inc.", through the merger of two predecessor corporations. We changed our corporate domicile to Nevada in December 1997, by merging into a Nevada corporation named, "Interpretel International, Inc." and subsequently changed our name to "Wavetech International, Inc." Our business at the time was to develop and market software for customized telephone calling card services.
