Under the terms of an Agreement and Plan of Merger by and among RoomLinX, Inc., a Nevada corporation which we refer to in this Annual Report as "Old RoomLinX", Arc Communications, Inc., a New Jersey corporation which we refer to in this Annual Report as "Arc", and RL Acquisition, Inc., a Nevada corporation and a wholly-owned subsidiary of Arc Communications, dated as of February 25, 2004, we completed a reorganization on June 28, 2004 pursuant to which:
