(a) General and Historical Developments

NewBridge Capital, Inc., formerly Scientific NRG, Incorporated ("NewBridge" or the "Company"), was originally incorporated in the State of Minnesota on May 20, 1983 as NRG, Inc. ("NRG"). In April 1986, Scientific Component Systems, Inc., a Minnesota corporation ("Scientific") engaged in the commercial lighting and energy-efficient lighting conversion business, was merged into NRG and the combined entity changed its name to "Scientific NRG, Incorporated" ("SNRG") in December 1986.
