USN Corporation (“USN”) was incorporated in the state of Colorado in 1988, under its former name, Protron Systems, Inc. In 1994, USN purchased certain assets and assumed certain liabilities from the bankruptcy estates of American Fashion Jewels, Inc. (“Imposters”) and, in a separate transaction, Mirage Concepts, Inc.
