LOUISVILLE, Ky ., June 8 /PRNewswire-FirstCall/ -- U.S. Wireless Online, Inc. (OTC: UWRL) (website: www.uswirelessonline.com), which owns and operates one of the nation's largest commercial-grade fixed wireless Internet broadband networks, today announced that the Company has appointed Bruce Widener to the position of Chief Operating Officer (COO) and Timothy Pisula to the position of Chief Technology Officer (CTO).

Bruce Widener, Chief Operating Officer. Mr. Widener brings over 18 years of industry experience to the U.S. Wireless management team with wireless experience dating back to 1990 with LiTel Telecommunications. Most recently Mr. Widener served as Senior Vice President of Corporate Development and was one of the founding employees of Lightyear Network Solutions, a national sales and marketing organization providing telecommunication services to approximately 200,000 commercial and residential customers and generating approximately $100 million in annual revenue through an independent national sales force. At Lightyear, Mr. Widener was responsible for Product Development, IT as well as Mergers & Acquisitions activity for the company. Widener joined Lightyear in 1993 and over the years served as Vice President of Marketing and Product Development, Vice President of Business Development, and Vice President of Network Services. Mr. Widener has been the driving force behind several significant Lightyear initiatives, including its unique authorized agent program, the direct sales business unit and well as its entree into the local, data and most recently VoIP markets. Prior to joining Lightyear, Widener held positions at WorldTel Services, LilTel/LCI International and Charter Network.

Timothy Pisula, Chief Technology Officer. Prior to joining U.S. Wireless Online Mr. Pisula served as CEO of YYireless1.Net, LLC upon its formation in 2002. In 1998, he was involved in the formation of LiveWire Ventures, LLC, an investment and management firm focused on providing software solutions and application service provider (ASP) services to the wireless telecommunications industry. He served as Chief Technology Officer of LiveWire Ventures, LLC, and he participated in start-up, acquisition and divestiture activities within the LiveWire group of companies. Mr. Pisula was previously Vice President and Chief Technology Officer at PriCellular Corporation, a publicly traded telecommunications company until its 1998 sale to a financial acquirer backed by a subsidiary of AT&T Wireless Services, Inc. Before joining PriCellular, he spent nine years with AT&T Wireless Services, rising to the position of Vice President, Technical Operations, where he was responsible for that company's network operations in the Northeast Region. Previously, he held senior management posts in engineering, information technologies and billing services for McCaw Cellular/AT&T Wireless. In all, Mr. Pisula brings over 20 years of wireless telecommunications experience to the U.S. Wireless Online management team.

In 2005 U.S. Wireless Online completed nine acquisitions amassing a fixed wireless broadband network with multiple points of presence in Florida, Mississippi, Alabama, Louisiana, Tennessee, Arkansas, Kentucky, Pennsylvania, Ohio and Indiana. As a result of the number of transactions and the related challenges associated with consolidating and integrating the various businesses, On March 31, 2006 the Company announced that it will require additional time to complete the preparation and filing of its annual report on SEC Form 10KSB. Since that time, the Company has retained the services of various professionals and is working closely with its auditors and attorneys to complete and file its annual and first quarter reports. The Company intends to file these reports along with its quarterly report for the period ending 6/30/06 during the upcoming quarter. On March 31, 2006 , the Company also announced that it had begun the process of restructuring its internal operations which may result in the divestiture of certain business units and that it was pursuing additional financing and other strategic alternatives. Since that time, the Company has been working toward the orderly divestiture of markets in Louisiana, Tennessee and Ohio with the goal of retaining only markets in which the Company is the dominant wireless broadband service provider and is generating positive operating income. During this period the Company has been able to obtain sufficient funding to maintain operations and has entered into a non-binding Letter of Intent (announced on May 4, 2006 ) with a publicly traded voice and data communications service provider whereby the assets and operations of the Company may be sold. The Company is currently engaged in a mutual due diligence process with the potential acquirer.
