In the transaction, US Farms, Inc. will be acquiring:

--  State-of-the-art manufacturing equipment including a fully automated
    filling, packing, and palletizing system designed for high output
    production with minimal labor costs.
--  Recently, the equipment received an in-use appraisal of $3.1 million.
