John A. Ryan — In November 2001, Mr. John A. Ryan was appointed chairman, president and chief executive officer of the Company. Mr. Ryan received options to acquire 1,000,000 shares of ZixCorp common stock at an exercise price of $5.24 per share that became fully vested in November 2003 and were still outstanding on December 31, 2005. Mr. Ryan resigned as Chief Executive Officer and Chairman of the Board in February and October 2005, respectively.
