Friedman, together with their affiliated entities beneficially own approximately 40% of our outstanding common stock. Accordingly, Mr. and Mrs. Friedman are effectively in a position to elect a number of the members of our board of directors and have substantial influence over our management and affairs. In addition, they effectively have veto power over a broad range of corporate actions requiring more than a simple majority vote presently contained in our articles of incorporation, including, without limitation, mergers, business combinations, change-in-control transactions, substantial asset sales, and other similar and extraordinary corporate transactions that can affect the value of our properties.
